Terms of Service

These terms govern your use of services provided by Groundlayer LLC and its operating brands: Simon L. Paige Web Design, RivalDrop, and Anvilshare. By using any Groundlayer service, you agree to these terms.
Acceptance
Using a Groundlayer website or service means you accept these terms. If you do not agree, do not use the service. We may update these terms. Continued use after an update constitutes acceptance of the revised terms.
Services
Groundlayer LLC operates three brands:
- Simon L. Paige Web Design builds custom websites for small businesses. Scope, deliverables, and timelines are defined in each project agreement.
- RivalDrop provides competitive intelligence reports and monitoring for Shopify merchants and local businesses. Service tiers and features are described on rivaldrop.com.
- Anvilshare replaces SaaS tools with custom-built, AI-native software on customer-owned infrastructure. Scope is defined per engagement.
Groundlayer LLC is the legal entity behind all three brands. Invoices, contracts, and legal correspondence come from Groundlayer LLC.
Payment
Payments are processed through Stripe. You agree to pay all fees associated with your selected service plan. Prices are listed on each brand's website at the time of purchase.
For subscription services (web hosting, RivalDrop monitoring), billing recurs monthly unless cancelled. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time in a billing cycle.
For project-based work (web design builds, Anvilshare engagements), payment terms are specified in the project agreement. A deposit is required before work begins.
Intellectual property
Work product created by Groundlayer for a client belongs to the client upon full payment, except:
- Groundlayer retains ownership of its internal tools, frameworks, and reusable code components.
- Open-source components remain under their original licenses.
- Groundlayer may use anonymized project descriptions and screenshots in its portfolio unless the client requests otherwise in writing.
Content you provide (text, images, data) remains yours. You grant Groundlayer a limited license to use it solely for delivering the contracted service.
Liability
Groundlayer LLC provides services on an "as is" basis. To the maximum extent permitted by law:
- Groundlayer is not liable for indirect, incidental, or consequential damages arising from use of its services.
- Total liability for any claim is limited to the fees you paid to Groundlayer in the 12 months preceding the claim.
- Groundlayer is not responsible for third-party service outages (Stripe, Cloudflare, hosting providers) that affect service delivery.
This limitation does not apply to damages caused by gross negligence or willful misconduct.
Governing law
These terms are governed by the laws of the State of Missouri. Any dispute arising from these terms or the services will be resolved in the state or federal courts located in Jackson County, Missouri.
